秘密保持契約書



[Acompanyname](以下「甲」という。)及び[Bcompanyname](以下「乙」という。)は、債務担保証券組成 (以下、「本件プロジェクト」という。)の検討に関し、以下の通り合意する。

第1条 (秘密情報の内容)

本契約において、「秘密情報」とは、次の各号に定めるものを除き、甲及び乙が有する本件プロジェクトに関わる全ての資料、文書、その他の関連情報であって、文書、口頭又は物品であるかを問わず甲乙間で提供・開示される一切のデータ及び情報をいう。

 (1)甲乙間で提供・開示される以前に甲又は乙が所有・保持していた情報で、かつ相手方当事者に対しその旨を通知したもの。

 (2)甲乙間で提供・開示された時点で既に公知の事実となっているもの。

 (3)甲乙間で提供・開示された後で、甲又は乙の責めに帰すべからざる事由により公知となったもの。

第2条 (秘密情報の使用及び保持)

1.甲及び乙は、本件プロジェクトを検討する目的以外の目的で、秘密情報を使用してはならない。

2.甲及び乙は、秘密情報を厳格に保持するものとし、次の各号に定める場合を除き、秘密情報を第三者に開示してはならない。

1. 本件プロジェクトに関与する役職員に対して、本件プロジェクトを検討させるために必要な範囲で秘密情報を開示し、使用させる場合
2. 弁護士、会計士、税理士、不動産鑑定士、格付機関又はこれらに準ずる者に対して、本件プロジェクトを検討させるために必要な範囲で秘密情報を開示し、使用させる場合
3. 法令又は法令に基づく行政機関の処分により、行政機関又はその指定する者に対して開示する場合
4. 訴訟その他の裁判手続において、裁判所の決定又は命令により、裁判所又はその指定する者に対して開示する場合
5. 相手方当事者が開示に同意した場合
3.前項第1号又は第2号に基づいて第三者に秘密情報を開示し、使用させる場合、甲及び乙は、当該第三者が本件プロジェクトを検討する目的以外の目的で秘密情報を使用しないよう所要の措置を講じるとともに、当該第三者が本契約の定めに従って秘密情報を厳格に保持するよう所要の措置を講じるものとする。また、前項第3号ないし第5号に基づいて第三者に秘密情報を開示する場合、甲及び乙は、当該第三者が本契約の定めに従って秘密情報を厳格に保持するよう所要の措置を講じるものとする。

第3条(複写及び転記)

 甲及び乙は、本件プロジェクトを検討するために必要な範囲で、複写又は転記可能な秘密情報を複写又は転記することができるものとする。  


第4条 (秘密情報の返還、破棄)

甲及び乙は、相手方当事者から請求があった場合、相手方当事者から提供・開示された秘密情報が記録された文書、フロッピー・ディスク等の媒体若しくは媒体に化体されていない電磁的記録データ(以下「文書等」という。)又は前条に基づき秘密情報が複写若しくは転記された文書等を、速やかに相手方当事者に返還又は破棄するものとする。但し、第2条第2項第1号に基づいて秘密情報が開示された場合において、甲又は乙の与信審査、管理その他の事由により秘密情報の保持を継続する必要があるときは、甲又は乙は、その旨相手方当事者に通知し、文書等の返還又は廃棄に応じないことができる。

第5条 (損害賠償)

 甲又は乙がその責めに帰すべき事由により本契約の各条項に違反したことにより相手方当事者が損害を被った場合、甲又は乙は損害を賠償する義務を負うものとし、相手方当事者からの請求に従い、直ちにその全額を履行するものとする。

第6条 (有効期間)

 本契約の有効期間は、本契約を締結した日から1年間とする。但し、前条に定める損害賠償義務は、当該有効期間経過後もなお存続するものとする。

第7条 (準拠法及び合意管轄)

本契約の準拠法は日本法とし、本契約に関して訴訟の必要が生じた場合は、東京地方裁判所を第一審の管轄裁判所とする。

本契約締結の証として本契約書1通を作成し、甲及び乙が記名押印のうえ、甲がその原本1通を保管し、乙がその写しを1通保管する。

Nondisclosure Agreement



[[A] company name] (referred to herein as A) and [[B] company name] (referred to herein as B) agree the following in relation to the investigation of the constitution of Collateralized Debt Obligations (CDOs) (referred to herein as "The Project").

Article 1 (The Content of the Confidential Information):

In the present agreement "Confidential Information" is, with the exception of the following items defined below, all information related to The Project which is offered or disclosed, such as data, documents or other related information, irrespective of whether it is physical or oral information.

1. Information offered or disclosed between A and B which was previously owned or retained by A or B and which was advised as such to the other party accordingly.
2. Information offered or disclosed between A and B which at that point in time was already publicly known information.
3. Information which after being offered or disclosed between A and B later became public knowledge through no fault of either A or B.

Article 2 (The Use and Retention of the Confidential Information):

[1] Neither A nor B may use the Confidential Information for any purpose other than the purpose of the investigations of The Project.

[2] A and B will strictly protect the Confidential Information and will not disclose it to any third parties except in the following cases:

1. Where the Confidential Information is disclosed to persons officially employed by The Project or where such persons are asked to use the Confidential Information. This disclosure and use must lie within the scope of what is required by The Project.
2. Where the Confidential Information is disclosed to lawyers, accountants, tax consultants, real estate experts and other persons similarly ranked or where such persons are asked to use the Confidential Information. This disclosure and use must lie within the scope of what is required by The Project.
3. Where disclosure to a government agency or a body appointed by a government agency is required by laws and ordinances or where it is required by such a body based on laws and ordinances.
4. Where disclosure to a court or a body appointed by a court is required by a court order arising as a result of litigation or other such court proceedings.
5. Where both parties have consented to the disclosure.

[3] In the case where the Confidential Information is given to a third party described in 1) and 2) of the preceding paragraph, or where that third party is allowed to use the Confidential Information, A and B must take appropriate action to prevent the third party using the information for any purposes other than the investigations of The Project. A and B must also take appropriate action to ensure that the third party strictly protects the Confidential Information in line with this contract. Furthermore, in the case where the Confidential Information is given to a third party described in 3) to 5) of the previous paragraph, A and Bmust also take appropriate action to ensure that the third party strictly protects the Confidential Information in line with this contract.

Article 3 (Duplication and Transcription)
A and B are permitted to duplicate and transcribe Confidential Information which is duplicable and which may be transcribed provided that this is done within the scope of the investigations of The Project.

Article 4 (The Return and Revocation of the Confidential Information)
When either A or B is requested by the opposite party, Confidential Information offered or disclosed by the opposite party which is recorded in the form of documents or media such as floppy disks or non-physical electromagnetic data (herein referred to as "Documents") or Documents which have been duplicated or transcribed (as described in the preceding article) must be promptly returned or relinquished to the opposite party. However, in the case where Confidential Information has been disclosed by those persons described in item 1, paragraph 2 of Article 2, and the continued retention of the Confidential Information is required by the credit administration or other such administration of A or B, they may refuse to return or dispose of the Documents provided this requirement has been communicated to the opposite party.

Article 5 (Restitution)
Where A or B has, through a cause for which they are responsible, violated any of the articles of the agreement and the opposite party has incurred losses as a result, A or B will bear responsibility for compensating the opposite party for the losses. The opposite party's claim must be paid in full immediately.

Article 6 (Period of Application of the Agreement)
The period of application of this contract shall be from when the contract is executed to one year later from that date. However, the responsibility for restitution, as defined in the preceding article, shall continue after this period of application of the contract has expired.

Article 7 (Governing Law and Jurisdiction of Agreement)
The governing law of this contract is Japanese Law and should any litigation arise as a result of this contract the court of first instance shall be the . As proof of the execution of this contract, one copy will be produced and A and B will place their signatures and seals thereon. A copy of this signed copy will be kept by B, while A shall keep the original.
